Today, the methods of investment are quite different from the past and as pooling of capital for financing of production and development projects of the firms are easy the ways of abuse and frauds are varied. Subscription is a way for pooling of funds and transferring the funds to different fields of production, development and the whole national economy or establishing joint stock companies or raising the capital of these companies. It is obvious that there should be specialized institutions to directly supervise the process of subscription advertisement and gathering the investor’s funds to protect the investor’s rights. This supervision is the legal duty of the SEO and any subscription without having the license issued by the SEO is a legal offense which is studied here in detail.
